Namibia Orange Basin: Galp Initiates 40% Stake Farm-Down on Giant Mopane Complex (PEL 83)
The M&A Analyst
Deals & Ownership
Portuguese operator Galp Energia has formally opened a competitive farm-down process to divest a 40% participating interest (out of its 80% operating stake) in PEL 83, host to the giant Mopane-1X and Mopane-2X discoveries in Namibia's Orange Basin.
The divestment represents the most closely watched upstream M&A opportunity in Africa, drawing bids from major international players (TotalEnergies, Shell, Chevron, Petrobras, ExxonMobil). The Ministry of Mines and Energy (MME) is monitoring the farm-down to enforce state company NAMCOR's statutory rights.
What this means for operators
- Mandatory 10% NAMCOR carried interest protection: Incoming farm-in operators must assume all future exploration, appraisal, and development expenditures on behalf of NAMCOR's 10% carried equity.
- Additional Profits Tax (APT) triggers: Valuation models must incorporate tiered APT liabilities under the Petroleum Taxation Act 1991, triggered once project internal rates of return exceed 15% and 20%.
- Ministerial Consent and local value retention: Under Section 95 of the Petroleum (Exploration and Production) Act, 1991, ministerial approval is contingent upon tangible local capacity development and engineering commitments in Windhoek and Walvis Bay.
Deal Schedule
- Data room access and indicative bid submission: Currently underway.
- Definitive farm-out execution and ministerial transfer: Targeted for closing in late 2026.
